Business POA
Obtain your local partner’s formal authority so you, as the investor, can manage the company’s daily operations in Dubai or elsewhere in the UAE.
Business POA
A Local Partner POA authorizes a representative to carry out specified actions relating to a local partnership or shareholding arrangement, where applicable. Requirements depend on the company’s activity, structure and licensing authority, and the POA can be used in Dubai or any other emirate.
The powers it grants are much like those in a company POA or a general manager POA, covering daily management, staff, contracts and licence renewals. It can also allow shares to be moved between local partners. The POA governs who runs the business, not who owns it, so the shareholding stays as it is.
Clear wording protects both sides and avoids confusion with authorities and banks. Because the local partner can usually revoke the POA, we recommend backing it with a carefully drafted nominee or side agreement.

Local Partner POA
It is a legal document in which a company’s local partner authorizes the investor or a chosen representative to carry out specified actions on their behalf, where a local partnership or shareholding arrangement applies. This lets the business run without needing the local partner at every step.
Not as a blanket rule. Most mainland business activities now allow 100% foreign ownership, while certain strategic or regulated activities keep specific ownership and approval requirements. Where a local partnership applies, this POA lets the investor run day-to-day operations without changing the shareholding.
Yes, as long as it is drafted correctly, notarized by a UAE Notary Public and consistent with UAE law. It only covers the authority to run the business; it does not override anyone’s shareholding rights.
Yes. It can state that the sponsor hands all decision-making to the foreign partner, apart from matters that legally need the sponsor’s own signature or shareholder consent, such as share transfers.
On its own, not always. It is a common arrangement, but it should be supported by a carefully drafted nominee or side agreement that protects the investor’s financial and operational interests. Taking legal advice first is strongly recommended.
Yes, at any time, unless a binding agreement stops them from doing so on their own. This is why it is so important to have supporting legal agreements in place.
No. It depends on how the company is structured and where it is licensed. It is mainly used by mainland companies that have an Emirati local partner.
